MAP Restructures Its Food & Beverage Business and Strengthen Capital Structure

Jakarta, 22nd June 2016 – Indonesia’s leading lifestyle retailer, PT Mitra Adiperkasa Tbk (MAP) announced today, during the company’s public expose, the restructuring of its Food & Beverage (F&B) business and subsequently invited an investor. Four F&B subsidiaries and five brands will be consolidated under one new wholly owned holding company called PT MAP Boga Adiperkasa (MBA).

Commenting on the strategic initiative, Fetty Kwartati, Corporate Secretary of MAP said, “This restructuring will enable MAP group to strengthen, develop and expand our F&B business. It will bring more focus, ability to obtain future funding and a stronger capital structure. It will also enable MAP to bring in an investor, General Atlantic, one of the world’s leading global equity firms. Their deep sector experience in F&B will provide a unique perspective to our F&B business.”

To fund the F&B business, MBA will issue a zero coupon bond to the investor amounting to Rp 725 billion. At the same time, MAP will provide an option to the investor (in the Company’s share of MBA), with an exercise price of Rp 508 billion. The funds obtained from the issuance of bond will be used by MBA for the expansion and development of F&B business.

To strengthen MAP capital structure, MAP will issue a zero Coupon Bond amounting Rp 355 billion. MAP will also grant an option (in the Company’s shares of MBA), with an exercise price amounting to Rp 355 billion. The funds from the issuance of MAP Bond will be used to repay a portion of MAP’s existing loans to creditors.

As per May 2016, our retail network increased to 2,062 stores with the opening of 110 new stores since the start of 2016. Membership at MAP Club has soared since its soft launch in February 2016, and sales at MAPEMALL.com has been surging since its launch.
